Code of Conduct
Introduction
Welcome to Scandit, where our passion for innovation and pioneer spirit is matched only by our strong commitment to ethical business practices. As a thriving and dedicated company, we understand that the only way to get things done right, relies on doing so with integrity, accountability, and responsible decision-making.
Our Code of Conduct (the “Code”) is an overview of our principles of business conduct and ethics, and expected behaviors, to drive our culture of acting ethically and conducting business in compliance with all applicable laws. While our Code is not intended to be a complete guide or definitive list to every applicable law, it covers the most critical topics and will provide you with guidance to help ensure the highest standards of behavior.
Failing to comply with the Code could put you, your colleagues, and Scandit at risk and, accordingly, could result in the termination of commercial relationships, disciplinary action and even dismissal.
Who this applies to
Scandit employees. Moreover, while this Code is specifically written for Scandit employees, our expectation is for Scandit contractors, suppliers, consultants, and others who may be temporarily assigned to perform work or services for Scandit to follow the Code in connection with their work for us (together, the “Stakeholders”).
What If I Have a Code-Related Question or Concern?
If you have a question or concern, we encourage you to raise it. You can contact your manager, HR, Legal, or, if you are not a Scandit employee, you can also reach out to your contact within Scandit. If you want to remain anonymous, you can make a report of a suspected violation or concern through our Whistleblowing Form.
No Retaliation
Scandit prohibits retaliation against any team member at Scandit who reports or participates in an investigation of a possible violation of our Code. If you believe you are being retaliated against, please contact Scandit Legal.
Waivers and Amendments
Scandit is committed to continuously reviewing and updating our policies and procedures. Therefore, this Code is subject to amendment at any time for any reason. Any waiver of any provision of this Code must be approved in writing by the CFO.
Key Principles
We aim to sustain a fruitful and lasting relationship with each one of our Stakeholders and that is why we commit, and expect Stakeholders to uphold the following key principles:
- Integrity and Honesty: When conducting business, Stakeholders shall act with integrity, transparency and honesty at all times, avoiding any behavior that could be construed as dishonest, deceptive, or fraudulent. We have a zero-tolerance policy for corruption and bribery. We reject any form of unethical influence, ensuring that our business dealings are conducted with integrity and fairness. This includes being conscious about the company’s environmental, social, and governance (ESG) practices.
- Conflict of Interest: We avoid conflicts of interest and prioritize the best interests of Scandit. We make decisions based on fairness and objectivity, putting the company’s success above personal gain.
- Respect Each Other: Stakeholders shall treat all individuals with respect and dignity, including those affected by the company’s operations, such as local communities and the environment.
- Responsibility: Stakeholders shall take responsibility for their impact on society, and shall seek to minimize any negative impacts while maximizing positive contributions. This includes committing to sustainability, inclusiveness, respect and fairness.
- Confidentiality, Privacy and Data Protection: Stakeholders shall maintain the confidentiality of any piece of information entrusted to them by Scandit or its customers, prospects and partners. We prioritize the protection of personal information and handle it securely, in accordance with privacy laws and best practices, respecting the privacy rights of our Stakeholders, and we expect you to do the same. - Fairness and Clarity: Stakeholders shall act fairly and impartially, avoiding any actions or decisions that could be perceived as biased or discriminatory. We communicate honestly, accurately, and transparently. We avoid misrepresentation, false statements, or misleading claims about our products, services, competitors, and external parties. Scandit prides itself in fostering open and honest communication within our company and with external parties.
- Diversity and Inclusion: We celebrate diversity and value the contributions of individuals from various backgrounds, cultures, and perspectives. Scandit has built an inclusive and collaborative work environment where everyone feels respected, valued, and empowered, which we expect our Stakeholders to adhere to.
- Professional Competence: Stakeholders shall strive to maintain a high level of professional competence, and shall seek to continuously improve their knowledge and skills in their respective area of expertise.
- Continuous Improvement: We are committed to ongoing improvement and learning. Scandit encourages feedback, as we seek to address ethical concerns promptly, and strive to continuously enhance our ethical practices to ensure the integrity and sustainability of our operations.
- Compliance with Laws and Regulations: Stakeholders shall comply with all applicable laws, regulations, and professional standards, and shall seek to exceed minimum legal requirements where possible. In respect of anti-bribery laws, Scandit’s stance is very simple: we don’t give or accept bribes, anytime, for any reason.

Further to the key principles outlined above, Scandit places the utmost importance in fostering an environment which is aligned with good industry practices and, as such, expects its Stakeholders to follow and uphold the guidelines stated below.
Intellectual Property
Intellectual property is a vital asset that drives innovation and fosters creativity within Scandit. As a company committed to ethical business practices, we recognize the importance of respecting and protecting intellectual property rights. This section of our Code outlines our commitment to upholding the integrity of intellectual property, both within our company and in our interactions with others. We expect all of our Stakeholders to understand and comply with the principles below.
- Respect for Intellectual Property Rights: We respect the intellectual property rights of others and acknowledge that unauthorized use, reproduction, or distribution of copyrighted works, trademarks, patents, or trade secrets is strictly prohibited. We uphold the principle of fair competition and act in accordance with applicable intellectual property laws and regulations.
- Protection of Company Intellectual Property: We safeguard and protect the intellectual property developed or owned by Scandit. This includes our inventions, trademarks, copyrights, trade secrets, software, and other creative works. We take appropriate measures to secure our intellectual property, including confidentiality agreements, employee training, and restricted access to sensitive information. - Lawful Use of Third-Party Intellectual Property: When utilizing third-party intellectual property, such as software, images, or licensed content, we respect and abide by the terms and conditions set forth by the intellectual property owners. We acquire proper licenses, permissions, or agreements to ensure lawful use and avoid any unauthorized or infringing activities.
- Collaboration and Innovation: We encourage a culture of collaboration and innovation within our company, while ensuring that intellectual property rights are respected. We promote the responsible sharing and protection of ideas, inventions, and creative works, fostering an environment that values and rewards intellectual property contributions.
- Reporting and Compliance: We expect all Stakeholders to promptly report any suspected infringement or misuse of intellectual property rights within the company. We take such reports seriously and conduct thorough investigations to address and rectify any identified issues. We comply with all legal obligations related to intellectual property, cooperate in any legal proceedings, and respect the rights of intellectual property owners.
Data Privacy, Cybersecurity and Information Security
We are committed to processing and protecting personal data in compliance with all applicable data privacy laws and regulations. We ensure that personal data is collected, used, stored, and disposed of in a secure and responsible manner. Our data privacy practices include:
- Informed Consent and Responsible Data Collection: We commit to obtaining informed consent for data collection in compliance with applicable laws, ensuring that individuals understand how their data will be used and that we collect only the data necessary for the specified purpose.
- Transparent and Secure Data Handling: We maintain transparency in data processing, provide clear information on how data is used, and implement robust security measures to protect personal data from unauthorized access.
- Data Minimization and Purpose Limitation: We practice data minimization by collecting and retaining only the data necessary for specified purposes. Personal data is used solely for the intended purposes, preventing incompatible processing.
- Compliance and Accountability: We pledge to comply with data protection laws applicable to Scandit in our regular course of business, and regularly review and update our data privacy practices to align with evolving standards.
We recognize the importance of cybersecurity and information security in protecting our assets and Stakeholders. To this end, we comply with the standards and have secured the ISO 27001 certification, which has been accredited by an external auditor and aligns Scandit’s practices with those of the best actors in the industry. We commit to the following principles:
- Protection of Information Systems: We protect our information systems from unauthorized access, use, disclosure, disruption, modification, or destruction.
- Employee Training: We provide regular training to employees on cybersecurity best practices and emerging threats.
- Incident Reporting: We expect Stakeholders to report any suspected cybersecurity or information security incidents immediately to ensure timely response and mitigation.
- Secure Development Practices: We follow secure coding practices and conduct regular security assessments of our software and systems.
- Continual Improvement: Security, Information Security, and Data Protection are an ever evolving field and requires a continual improvement mentality. We expect Stakeholders to be mindful of improvements and raise these appropriately for consideration.

Corporate Social Responsibility and Human Rights

We focus our human rights efforts on areas most relevant to our business and operations in terms of potential human rights impacts.
- Prohibition of Forced Labor: The company strictly prohibits the use of forced labor, including any form of modern slavery, child labor, human trafficking, or debt bondage.
- Compliance: The company expects its Stakeholders to fully comply with applicable laws and this policy, and to ensure that their own suppliers, subcontractors, and agents do the same.
- Working conditions: Schedules, rotations, time off, leaves, equipment, freedom of association, and any other right or principle or requisite contained within the applicable legislation, collective agreement or equivalent instrument shall be observed and followed in accordance with local requirements.
We compensate our employees fairly to help ensure that basic needs may be met, and provide our employees with opportunities to develop their knowledge, skills, and abilities.
We hire, compensate, promote, discipline, and provide other conditions of employment based solely on an individual’s qualifications and performance. We do not discriminate, at any level of Scandit, on the basis of protected characteristics.
